The Peruvian Government approved through Supreme Decree N° 039-2021-PCM the Regulation of Law No. 31112 (“Regulation”), which establishes the prior control of business concentration operations. The Regulation was published in the Official Gazette El Peruano on March 4, 2021.

Subject to the adaptation of the Regulation of the Organization and Functions Law of the National Institute for the Defense of Competition and Protection of Intellectual Property (“INDECOPI”) and other complementary instruments, it is possible that Law No. 31112, which establishes the prior control of business concentration operations, and the Regulation will enter into force in the first half of April 2021.

A legislative authorisation in the 2020 State Budget 2020 authorised the Government to review the rules on residence permits for investment provided for in Law 23/2007 of 4 July by the end of 2020. The aim is to encourage investment in inland areas, urban regeneration, cultural heritage, activities of high environmental or social value, and productive investment and job creation.
In this context, in accordance with the Council of Ministers Communication of 22 December 2020, the Decree Law amending the rules on residence permits for investment was approved and finally published on 12 February 2021.

Uruguayan Law No. 18.159 on the Promotion and Defense of Competition has been recently amended, through the enactment of Law No. 19.833 last year (hereinafter, the “Reform”). The Reform sets forth significant changes that align Uruguayan Competition Law with international standards, and this initiative is framed within the recommendations issued by United Nations on its Uruguay report published on October, 2016, which resulted from Uruguay undergoing a “Voluntary Peer Review of Competition Law and Policy”, within the framework of the United Nations Conference on Trade and Development (“UNCTAD”). The Reform deploys some (though clearly not all) recommendations issued by UNCTAD.
