Soulier Avocats welcomes a new Partner: Fabien Pomart
Soulier Avocats is pleased to announce that Fabien Pomart has joined the firm as partner in charge of the firm’s labor & employment practice in Paris. Fabien Pomart represents companies (French and foreign groups and their subsidiaries, as well as SMBs and intermediate-sized businesses) operating in all business sectors and acts both as advisor and litigator. He notably assists companies with respect to collective bargaining matters and in the context of their transformation projects, including sale, merger, acquisition and reorganization transactions. Fabien Pomart will work in complete synergy with Soulier Avocats’ other departments. His arrival in our Paris office underscores the will of the firm to continue its growth, strengthen its international offering and further diversify its activities. Fabien, 43, began his career with Allen & Overy LLP in 2001 before joining CMS Francis Lefebvre in 2010 and Lamartine Conseil as partner in 2012, and then Racine in 2016. He holds a post-graduate degree (DESS - DJCE) in business law from the University of Cergy Pontoise.

Private Equity in France: Focus on available exit routes

Private equity involves the association of one or more entrepreneurs and one or more financial investors who provide financing to unlisted companies and even sometimes listed companies. For the year 2018, the amounts invested in private equity in France reached 14.7 billion euros, making France the second country in the European Union after the United Kingdom. In private equity transactions, investors are expected to exit in the short or medium term. Several exit routes are available to capital investors: trade sale, transfer to the management team, sale to another investment fund or initial public offering.

The French Data Protection Authority releases a recommendation on cookies

As part of its action plan on targeted advertisement, the French Data Protection Authority (Commission Nationale de l'Informatique et des Libertés or “CNIL”) is proposing a consultation on a draft recommendation on practical procedures for collecting Internet user consent for the use of online trackers. Following the guidelines recalling the legal provisions that govern the use of cookies and other trackers adopted on July 4, 2019, the CNIL conducted a consultation during the fall of 2019, in order to prepare a draft recommendation proposing operational procedures for obtaining consent. This draft is now subject to public consultation until February 25, 2020. At the end of this period, a final version of the recommendation will be presented for final adoption.

Secrecy of pre-trial investigations and inquiries: A fundamental principal undermined by social changes

In today’s increasingly information dominated society, the National Assembly's Law Committee has asked MPs Xavier Breton and Didier Paris to carry out a fact-finding mission on the secrecy of pre-trial investigations and inquiries. In their report published in December 2019, they rightly point out the inconsistencies that surround this principle, which is fundamental, but which is undermined by the legitimate need for information. Beyond this observation, the rapporteurs draw up a list of recommendations in order to adapt the secrecy of pre-trial investigations and inquiries to the evolutions of today's society.

Publication of the WLG Merger Control Guide 2020
We are pleased to announce the release of the WLG Merger Control Guide 2020, designed as a quick reference resource for every organization which is involved in M&A transactions. This Guide provides “at-a-glance” information on merger control for 91 jurisdictions around the world, in particular on two of the most important questions related to merger control, i.e. “thresholds” and “stages”. “Threshold” identify the relevant prerequisites that trigger an obligation under Merger Control rules to notify a national competition authority of a contemplated or pending transaction, such as a merger or acquisition. “Stages” describe the procedure and the investigation periods once the national competition authority has been notified of a transaction. Brief answers to both questions are provided country-by-country. Jean-Luc Soulier and Geoffroy Lacroix have authored the chapter France of this Guide. This guide was composed by the members of the Antitrust & Competition Practice Group of the World Law Group, a network of 59 leading independent law firms with more than 400 offices in major commercial centers worldwide.
